Terms of Service
These Terms of Service apply when you purchase or enroll in any paid program offered by TJH Media Publishing, including the Ideation Studio, the Architect Studio, the Opportunity Snapshot Engine, the LOC Dominance Engine, and any custom editorial engagement. They are in addition to our Terms of Use.
1. The agreement
These Terms of Service form a binding agreement between you and TJH Media Publishing whenever you complete a checkout for a paid program or sign a separate engagement letter that references this document. By proceeding with payment, you confirm that you have read and agree to these terms.
2. The programs we offer
We make a range of paid programs available to authors and publishers, including concept-development engagements (the Ideation Studio), conversational AI editorial guidance (the Architect Studio), structured commercial-opportunity reports (the Opportunity Snapshot Engine and the Comprehensive Roadmap), production, registration, and launch infrastructure (the LOC Dominance Engine), and bespoke editorial, ghost-writing, or strategic-publishing services arranged by separate agreement.
The deliverables, timelines, scope, current tiers, and current pricing of each program are described on the relevant page of our website at the time of purchase, or in a separate engagement letter, and govern your engagement. Programs, tiers, and prices are reviewed and updated periodically; the version in effect at the time you complete checkout is the version that applies to that purchase.
3. Payment
- All prices are quoted in US dollars unless stated otherwise. Prices include any value-added tax that we are required to collect.
- Payment is due in full at the time of checkout, unless we have agreed to a payment plan in writing.
- Payment is processed by a PCI-compliant third-party payment processor. By providing your payment details, you authorize that processor to charge your chosen payment method.
- If a charge is reversed, we may suspend access to deliverables until the matter is resolved.
4. Refunds and cancellations
Statutory cancellation rights
Most US states do not provide a statutory cooling-off period for digital or professional services purchased online. If, however, you are a consumer in a jurisdiction that does grant such a right (for example, the United Kingdom or the European Economic Area, where a fourteen-day cancellation right may apply), that right is preserved. If you have asked us to begin the service immediately and we have done so, you acknowledge that you may lose the right to cancel once the service is materially performed.
Outside the cooling-off period
Because each engagement involves bespoke editorial work that begins as soon as the program is activated, refunds outside the cooling-off period are at our discretion. We will consider a refund or partial refund where we have not yet meaningfully begun work. Once core deliverables have been generated or shared, the engagement is non-refundable.
Cancellation by us
We may cancel an engagement and refund any unspent portion of your payment if we determine that the engagement is not feasible, that proceeding would put us at legal risk, or that you have materially breached these Terms of Service.
5. Deliverables and ownership
- Outputs that we generate specifically for you (such as Opportunity Snapshots, blueprint outlines, story arcs, and editorial reports) are owned by you to use as you see fit, subject to the disclaimers below.
- Our underlying frameworks, systems, prompts, methodologies, and platform code remain our intellectual property.
- Where AI-assisted tools generate the output, you also acknowledge the disclosures in our Disclaimers page.
6. Your responsibilities
- Provide accurate intake information — the quality of our analysis depends heavily on what you tell us.
- Respond promptly to requests from our editorial team during the engagement.
- Treat our editorial staff and contractors with professional courtesy.
- Honor the representations you made in our Manuscript Submission Terms.
7. Service availability
We aim to keep the platform available at all times but we do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, and other events may interrupt access. We will use reasonable efforts to restore service promptly.
8. No publishing guarantee
Purchasing a paid program does not guarantee that TJH Media Publishing or any other publisher will publish, distribute, or commercialize your work. Whether to enter into a publishing relationship is determined separately and at our sole discretion. See our Disclaimers.
9. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with a paid program is capped at the amount you actually paid for that program in the twelve months preceding the event giving rise to the claim. We will not be liable for any loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or indirect or consequential losses, however caused. Nothing in these terms limits liability for fraud, gross negligence, death or personal injury caused by negligence, or anything else that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold TJH harmless from any third-party claim arising from (a) your breach of these Terms of Service, (b) your breach of the representations in our Manuscript Submission Terms, or (c) your use of any deliverable in a way that violates a third party's rights or applicable law.
11. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only for the purpose of the engagement. Standard exceptions apply (information already public, independently developed, required by law to disclose, and so on).
12. Termination
Either party may terminate an engagement on written notice if the other party materially breaches these terms and does not cure the breach within fourteen days. We may also terminate immediately if continuing the engagement would put us at legal risk. The provisions of these terms that should survive termination (intellectual property, ownership, disclaimers, limitation of liability, indemnification) will survive.
13. Governing law and disputes
These Terms of Service are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. Any dispute is subject to the exclusive jurisdiction of the state and federal courts located in Delaware, except where mandatory consumer-protection laws of your home jurisdiction give you the right to bring a claim there. Before commencing any formal proceedings, the parties agree to negotiate in good faith for thirty days.
14. Force majeure
Neither party will be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including natural events, internet outages, third-party service failures, or government action.
15. Changes to these terms
We may update these Terms of Service from time to time. The version that applies to your engagement is the version in effect on the date you completed checkout for that engagement.
16. Entire agreement
These Terms of Service, our Terms of Use, our Privacy Policy, our Manuscript Submission Terms, our Disclaimers, and any signed engagement letter together form the entire agreement between you and TJH Media Publishing in relation to your paid program.
